Velocity Financial, Inc. Announces Proposed Offering of $500 Million of Senior Notes Due 2031

WESTLAKE VILLAGE, Calif.–(BUSINESS WIRE)–Velocity Financial, Inc. (NYSE: VEL), (“Velocity” or the “Company”), a leader in investor real estate loans, today announced that Velocity Commercial Capital, LLC, a wholly-owned subsidiary of Velocity (the “Issuer”), plans to offer up to $500 million aggregate principal amount of Senior Notes due 2031 (the “Notes”) to be sold in an offering exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”) to individuals reasonably believed to be “qualified institutional buyers” pursuant to Rule 144A under the Securities Act and to certain persons outside the United States in reliance on Regulation S under the Securities Act, subject to market and other conditions.

The Company intends to use approximately $222.7 million of the net proceeds of the offering to fund the redemption of the Issuer’s outstanding 7.125% Senior Secured Notes due 2027 (the “2027 Notes”) and the remainder for general corporate purposes, which may include the repayment of a portion of the outstanding borrowings under the Company’s warehouse repurchase and revolving loan facilities and the use of up to $75 million for the acquisition of a business that the Issuer and the Company are considering acquiring. Nothing in this press release constitutes a notice of redemption or any offer to purchase or solicitation of an offer to sell any of the outstanding 2027 Notes.

The Notes and the related guarantees have not been, and will not be, registered under the Securities Act of 1933, as amended (the “Securities Act”), or the securities laws of any other jurisdiction. Recapping TikTok’s dramatic five-year battle When I interviewed Brendan Carr back in 2022, for example, the future FCC chairman was already certain at that point that TikTok’s days were numbered. For a litany of perceived sins — everything from the too-cozy relationship of the app’s parent company with China’s ruling regime to the app’s repeated floating of user privacy — Carr was already convinced, at least during his conversation with me, that: “The tide is going out on TikTok.” It was, in fact, one of the few issues that Washington lawmakers seemed to agree on. Even then-President Biden was on board, having resurrected Trump’s aborted TikTok ban from his first term and signed it into law. “It feels different now than it did two years ago at the end of the Trump administration, when concerns were first raised,” Carr told me then, in August of 2022. “I think, like a lot of things in the Trump era, people sort of picked sides on the issue based on the fact that it was Trump.” One thing led to another, though, and it looked like Carr was probably…
